FREELANCER AGREEMENT & TERMS OF SERVICE

1. Introduction
This Freelancer Agreement is made between **Mother Tongue Digital Solutions** and the freelancer upon registration. By signing up and providing services, the Freelancer agrees to the following terms and conditions.

2. Scope of Work
The Freelancer agrees to provide language-related services, including but not limited to translation, transcription, voice recording, proofreading, data annotation, interpretation, content writing, sentence writing and recording, image collection, quality assurance, and other agreed-upon projects.

3. Independent Contractor Status
The Freelancer is an independent contractor and not an employee of the Company. The Freelancer is responsible for their own taxes, insurance, and legal compliance.

4. Payment Terms
Payments will be made based on agreed rates per project or per hour.
Payment schedules will be communicated before the commencement of each project.
The Freelancer must submit invoices (if required) for completed work.
The Company reserves the right to withhold payment for incomplete or substandard work.

5. Confidentiality
The Freelancer agrees to keep all project-related information confidential and not disclose any sensitive data to third parties without written consent from the Company.

6. Intellectual Property
All work submitted by the Freelancer becomes the property of the Company unless otherwise agreed in writing. The Freelancer shall not claim ownership or reuse the work without permission.

7. Quality & Deadlines
The Freelancer agrees to deliver high-quality work within the agreed deadlines.
The Company reserves the right to reject substandard work or request revisions.
Repeated failure to meet quality standards may result in termination of collaboration.

8. Non-Compete & Non-Solicitation
The Freelancer agrees not to directly contact or solicit the Company’s clients for similar services without prior consent.

9. Termination
Either party may terminate this Agreement with written notice. The Freelancer must complete ongoing projects or hand over necessary materials before termination.

10. Dispute Resolution
Any disputes arising from this Agreement shall be resolved amicably. If unresolved, the matter shall be settled through arbitration under applicable laws.

11. Governing Law
This Agreement shall be governed by the laws of **Nigeria and Senegal**, where Mother Tongue Digital Solutions operates.

12. Agreement Acceptance
By registering as a Freelancer, you acknowledge that you have read, understood, and agreed to these terms and conditions.
